These Terms of Service ("Terms") govern your access to and use of Memorix Meeting Notes ("Memorix", "the Service"), operated by Boerre Hartviksen ("we", "us", "our"), located in Kristiansand, Norway. By registering for or using the Service, you agree to be bound by these Terms.
By creating an account or using Memorix, you confirm that you are at least 16 years old, have read and understood these Terms, and agree to be bound by them. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
Memorix is a cloud-based meeting notes application that allows users to create, organise, and share structured meeting notes with versioning, decisions, tasks, agendas, and scripts. The Service is hosted on Google Firebase and accessible via mnotes.memorixapps.com.
To use the Service, you must register with a valid email address and password. You are responsible for:

New accounts receive a 15-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial period, continued access requires an active paid subscription.
Memorix offers the following subscription plans:
Payments are processed securely by Stripe. By subscribing, you authorise Stripe to charge your payment method on a recurring basis until you cancel. All prices are in USD and exclusive of any applicable taxes.
Yearly subscriptions are billed annually in advance. Monthly subscriptions are billed monthly. You may cancel at any time via the subscription management portal; cancellation takes effect at the end of the current billing period.
We do not offer refunds for partial subscription periods. If you believe you have been charged in error, please contact us within 14 days at memorixnotes@outlook.com and we will review your case.
You retain ownership of all content you create within Memorix, including meeting notes, decisions, tasks, and agendas ("Your Content"). By using the Service, you grant us a limited, non-exclusive licence to store and process Your Content solely to provide the Service.
You are solely responsible for Your Content and must ensure it does not violate any applicable laws or third-party rights.
You agree not to use the Service to:
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in accordance with applicable Norwegian and EU data protection law, including the GDPR.
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may suspend or discontinue the Service at any time, with or without notice, for maintenance, security, or other reasons. We are not liable for any loss resulting from downtime.
The Memorix name, logo, software, and all related materials are the intellectual property of Boerre Hartviksen. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent.
The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, secure, or meet your specific requirements.
To the maximum extent permitted by applicable law, Boerre Hartviksen shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability to you shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
These Terms are governed by the laws of Norway. Any disputes shall be subject to the exclusive jurisdiction of the courts of Kristiansand, Norway.
We may update these Terms from time to time. We will notify you of material changes by email or via a notice within the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
